These Terms of Service (“Terms”) constitute a legally binding agreement between you and Zenith Edge, LLC (“Zenith Edge,” “we,” “us,” or “our”) governing your access to and use of Zenith Edge’s educational products, websites, applications, software, digital content, and related services, including ABC-CVC, ABC-Digraphs, ABC-Blends, and Phonics Mastery (collectively, the “Services”).
Please read these Terms carefully before accessing or using the Services.
By creating an account, purchasing a subscription, accessing the Services, clicking “I Agree,” or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
If you are using the Services on behalf of a child, you represent that you are the child's parent or legal guardian, or otherwise have legal authority to authorize the child's use of the Services.
For purposes of these Terms:
means an account registered with Zenith Edge that permits access to some or all of the Services.
means all educational and other materials made available through the Services, including phonics activities, exercises, questions, explanations, text, graphics, illustrations, photographs, downloadable materials, software, interfaces, characters, logos, and other materials.
means a parent, legal guardian, or other individual legally authorized to provide consent for a minor to use the Services.
means a child or other individual who accesses or uses the Services through a Parent's Account or with the Parent's authorization.
means, collectively, ABC-CVC, ABC-Digraphs, ABC-Blends, Phonics Mastery, and any websites, applications, software, digital products, educational materials, features, tools, Content, and related services provided by Zenith Edge.
By accessing or using the Services, you agree to these Terms.
If you are under the age of majority in your jurisdiction, you may use the Services only with the involvement, authorization, and supervision of your Parent or other legally authorized adult.
If you are a Parent establishing an Account for a child, you represent and warrant that:
Zenith Edge provides digital educational products designed to support early literacy, phonics, reading, language development, and related educational activities.
The Services currently include:
Zenith Edge may add, remove, modify, replace, or discontinue products, features, Content, or functionality from time to time.
The Services are intended to supplement educational practice and are not intended to replace the professional judgment of parents, teachers, educators, educational specialists, or other qualified professionals.
Certain features of the Services require an Account.
You agree to provide accurate, complete, and current information when creating an Account and to maintain the accuracy of that information.
You may not:
Zenith Edge may suspend or terminate an Account if the Account is used in violation of these Terms or if Zenith Edge reasonably determines that suspension or termination is necessary to protect the Services, Users, or Zenith Edge.
You are responsible for maintaining the confidentiality of your Account credentials and for activities occurring through your Account, except to the extent caused by Zenith Edge's failure to use reasonable security measures.
You must promptly notify Zenith Edge if you believe that:
Zenith Edge may require you to change your password or other authentication credentials when reasonably necessary to protect the Services or Users.
A Parent may establish an Account to provide access to the Services to one or more children for whom the Parent has appropriate legal authority.

Zenith Edge recognizes the importance of protecting information relating to children.
Zenith Edge's collection, use, disclosure, retention, and protection of personal information are described in the Zenith Edge Privacy Policy, which is incorporated into these Terms by reference.

Zenith Edge will process personal information for legitimate purposes associated with providing, maintaining, securing, supporting, and improving the Services, as permitted by applicable law and our Privacy Policy.
Zenith Edge does not sell children's personal information.

Where required by applicable law, Zenith Edge will provide appropriate mechanisms for authorized Parents to request access to, correction of, or deletion of their child's personal information.
The Services contain educational Content developed, licensed, or otherwise made available by Zenith Edge.
Educational Content is provided for educational and informational purposes.
Although Zenith Edge makes reasonable efforts to provide accurate and useful educational Content, Zenith Edge does not warrant that every activity, exercise, question, answer, explanation, or other item will be free from errors.
Zenith Edge reserves the right to correct, update, revise, or remove Content at any time.
Subject to your compliance with these Terms and payment of all applicable fees, Zenith Edge grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during the applicable subscription term.
The license is for your personal, non-commercial, educational use and for the authorized use of your child or children.
The license does not transfer ownership of the Services or Content to you.
Except as expressly permitted by Zenith Edge, you may not distribute, sublicense, sell, rent, lease, lend, transfer, or commercially exploit access to the Services.

Without limitation, Zenith Edge or its licensors retain all rights, title, and interest in:

“Zenith Edge,” “ABC-CVC,” “ABC-Digraphs,” “ABC-Blends,” “Phonics Mastery,” and other Zenith Edge names, logos, product names, designs, and marks are trademarks or trade names of Zenith Edge or its licensors.
You may not use Zenith Edge trademarks without prior written permission.
Certain Services may allow Users to submit, upload, create, record, or otherwise provide content (“User Content”).
You retain ownership of User Content to the extent that you own the underlying rights.
By submitting User Content, you grant Zenith Edge a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, and process that User Content solely as reasonably necessary to provide, maintain, secure, and improve the Services and as otherwise permitted by these Terms and our Privacy Policy.
You represent that you have all rights and permissions necessary to submit User Content and grant the foregoing license.
Zenith Edge does not claim ownership of a child's original work merely because that work is submitted through the Services.
If you provide suggestions, ideas, recommendations, comments, or other feedback concerning the Services (“Feedback”), you grant Zenith Edge the right to use, reproduce, modify, and incorporate such Feedback into its products and services without compensation or attribution to you.
Feedback does not include personal information belonging to a child.
Access to certain Services may require payment of a subscription fee.
The applicable price, subscription period, renewal terms, and other commercial terms will be presented at the time of purchase.

If you purchase a subscription that automatically renews, you authorize Zenith Edge or its payment processor to charge the applicable payment method at the beginning of each renewal period.
Before purchasing an automatically renewing subscription, the applicable renewal frequency and price will be disclosed.
You may cancel an automatically renewing subscription before the next renewal date using the cancellation method provided by Zenith Edge.
Cancellation generally prevents future renewal but does not automatically entitle you to a refund for the unused portion of the current subscription period unless otherwise required by law or expressly provided by Zenith Edge.
You agree to pay all applicable fees associated with your subscription.
Unless otherwise stated, fees do not include applicable sales, use, value-added, or other taxes.
You are responsible for applicable taxes imposed on your purchase, except taxes based on Zenith Edge's net income.
If payment is not received when due, Zenith Edge may suspend or terminate access to the applicable Services.
Zenith Edge may occasionally offer free trials, promotional subscriptions, discounts, credits, or other offers.
Unless otherwise stated, promotional offers:
Zenith Edge reserves the right to determine eligibility for promotional offers.
Except where otherwise stated at the time of purchase or required by applicable law, subscription fees are non-refundable.
If Zenith Edge expressly offers a refund policy, the terms of that policy will apply.
If you purchase through a third-party platform, such as an app store or other marketplace, that platform's payment and refund policies may apply.
The Services may integrate with or rely upon third-party services, platforms, payment processors, hosting providers, analytics providers, authentication services, app stores, or other third-party technologies.
Zenith Edge is not responsible for the availability, functionality, security, or policies of third-party services that are outside Zenith Edge's reasonable control.
Your use of third-party services may be subject to additional terms imposed by the third party.
Zenith Edge will use commercially reasonable efforts to maintain the availability of the Services.
However, Zenith Edge does not guarantee that the Services will:
The Services may occasionally be unavailable due to maintenance, upgrades, technical problems, security incidents, outages, or circumstances beyond Zenith Edge's reasonable control.
Zenith Edge may modify, update, suspend, or discontinue all or part of the Services at any time.
Where commercially reasonable, Zenith Edge will provide advance notice of material changes that substantially reduce the functionality of a paid Service.
Nothing in this Section limits any rights you may have under applicable law.
Zenith Edge may suspend or terminate an Account or access to the Services if:
Where appropriate and reasonably practicable, Zenith Edge may provide notice and an opportunity to cure a violation before termination.
Zenith Edge may immediately suspend access where necessary to address security, legal, or safety concerns.

The Services are educational tools intended to support learning and practice.
Zenith Edge does not guarantee that use of the Services will produce any particular educational, academic, literacy, reading, phonics, or assessment outcome.
A child's progress may depend on numerous factors outside Zenith Edge's control, including age, prior knowledge, frequency of use, individual learning differences, parental involvement, and other educational circumstances.
The Services should not be relied upon as a substitute for professional educational evaluation, individualized instruction, medical care, psychological services, or other professional services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ZENITH EDGE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
ZENITH EDGE DOES NOT WARRANT THAT:
TO THE EXTENT THAT APPLICABLE LAW DOES NOT PERMIT THE EXCLUSION OF A PARTICULAR WARRANTY, THAT WARRANTY SHALL APPLY ONLY TO THE MINIMUM EXTENT REQUIRED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENITH EDGE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENITH EDGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO ZENITH EDGE FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS ($100).
The limitations in this Section apply regardless of the legal theory of liability, including contract, tort, negligence, strict liability, or otherwise.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Zenith Edge and its members, managers, officers, employees, agents, affiliates, licensors, and service providers from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
This indemnification obligation does not apply to the extent that the claim results from Zenith Edge's own gross negligence, willful misconduct, or other conduct for which indemnification cannot legally be required.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
To the extent permitted by applicable law, you and Zenith Edge agree to first attempt in good faith to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services through informal discussions.
Before initiating formal proceedings, the complaining party should provide written notice describing the dispute and requested resolution.
If the dispute cannot be resolved informally, the dispute will be resolved as provided below.
Except where prohibited by applicable law or where a party seeks qualifying injunctive or equitable relief relating to intellectual property or unauthorized use of the Services, any dispute arising out of or relating to these Terms or the Services shall be resolved through confidential, individual arbitration rather than in court.
The arbitration shall be conducted by a mutually agreed arbitrator under the applicable rules of a recognized arbitration provider.
The arbitration shall be conducted on an individual basis.
No arbitration or other dispute may be brought as a class, collective, consolidated, or representative action to the extent such waiver is enforceable under applicable law.
If any portion of this arbitration provision is held unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.
Nothing in this Section prevents either party from seeking temporary or preliminary injunctive relief from a court of competent jurisdiction where necessary to prevent unauthorized use, disclosure of confidential information, infringement of intellectual property, or other irreparable harm.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-laws principles, except to the extent federal law or mandatory consumer-protection law applies.

The Privacy Policy describes how Zenith Edge collects, uses, discloses, protects, and retains personal information.
Zenith Edge may update these Terms from time to time.
When Zenith Edge makes material changes, Zenith Edge will provide reasonable notice as required by applicable law.
The updated Terms will become effective on the date stated in the updated Terms.
Your continued use of the Services after the effective date constitutes acceptance of the updated Terms, except where applicable law requires affirmative consent.

Zenith Edge will not be responsible for failure or delay in performing its obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, epidemics, pandemics, governmental actions, war, terrorism, labor disputes, telecommunications failures, internet outages, cyberattacks by third parties, infrastructure failures, or other events beyond Zenith Edge's reasonable control.
You may not assign or transfer these Terms or your rights under these Terms without Zenith Edge's prior written consent.
Zenith Edge may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar transaction.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, if permitted by law.
If modification is not possible, the provision shall be severed, and the remaining provisions shall remain in full force and effect.
Zenith Edge's failure to enforce any provision of these Terms does not constitute a waiver of that provision or Zenith Edge's right to enforce it later.
These Terms, together with the Privacy Policy and any applicable purchase terms, constitute the entire agreement between you and Zenith Edge regarding the Services.
Except as expressly stated in these Terms, these Terms do not create rights for any third party.
Provisions that by their nature should survive termination shall survive termination, including provisions concerning intellectual property, restrictions on use, disclaimers, limitations of liability, indemnification, dispute resolution, governing law, and payment obligations accrued before termination.
